Terms of Service
These terms are the agreement between your business and [Company name] (UEN [UEN]), which runs Lunas. The short version: try it free for 30 days, pay monthly or yearly if you stay, cancel any time, and your data is always yours to export.
1.The agreement
By creating an account you agree to these terms, our Privacy Policy and, for the customer data you store, our Data Processing Agreement. You confirm you can agree for the business you sign up.
2.Your account
- Keep your sign-in details secret. You're responsible for what happens under your account.
- The details you give us (business name, UEN, GST status, PayNow details) must be accurate: they're printed on your invoices.
- You're responsible for your invoices being right for your tax situation. Lunas calculates GST from the settings you choose; it isn't tax advice.
3.Free trial and plans
- New accounts get 30 days free. No card is needed to start.
- After the trial: S$59 a month or S$590 a year (Singapore dollars, charged in advance by our payment provider, Stripe). If we become GST-registered, GST is added and shown on your receipt.
- Subscriptions renew automatically until cancelled. A failed payment gets a short grace period; after that the account becomes read-only until payment is made.
- Read-only means you can still see, print and export everything; you just can't create new orders or invoices, and reminders pause.
4.Founding price lock
Businesses that subscribe on a founding plan before 31 Dec 2026 pay S$39 a month or S$390 a year for as long as the subscription stays active: we won't raise it. If you cancel and come back later, the price at that time applies.
5.Paid Faster or Paid Back
For paid subscriptions, two promises:
- 30-day refund: cancel within 30 days of your first payment, for any reason, and we refund it in full.
- Paid faster or paid back: if for 60 days from your first payment you send every new deposit and balance invoice through Lunas with reminders switched on, and either your average days from final invoice to paid isn't faster than the baseline we record together at setup, or you tell us you haven't saved at least 2 hours a month, we refund everything you've paid us and pay you S$100 for your time.
Claim by emailing hey@bindery.run within 14 days after the 60 days end. One guarantee claim per business.
We can't promise that your customers will pay: we promise the outcome above, or your money back.
6.Cancelling, and your data
- Cancel any time from Billing. Paid time runs to the end of the period; we don't refund part-periods except under the guarantee above.
- Your data, always: you can export all your records as CSV at any time, including while read-only and after cancelling, until you close the account. There's no exit fee.
- Close your account and we delete your data as described in the Privacy Policy.
- We may close accounts that break these terms, after warning you where we reasonably can, and give you a chance to export your data.
7.Your content and customers
- Everything you put in (customer records, invoices, logos) stays yours. You let us store and process it only to run the service for you.
- You're responsible for having the right to record your customers' details and to contact them (invoices, receipts and reminders are messages about a transaction they started; don't use the service for marketing messages).
- Deposit terms you show on pay links are your terms with your customers. The template text we suggest is a starting point, not legal advice.
8.Acceptable use
Don't use Lunas to:
- issue false or misleading invoices, or collect money you aren't owed;
- send spam or unsolicited marketing, or harass anyone;
- break the law, including the PDPA and Singapore's rules on anti-money laundering for dealers in precious stones and metals where they apply to you;
- try to access another business's data, overload the service, or get around its security or limits.
9.The service
- PayNow payments go straight from your customer's bank to yours. We never hold your money, so we can't freeze it, but we also can't reverse or recover a payment for you. Check the PayNow details in Settings before sending invoices.
- We work to keep the service available and your data safe, and improve it continually. Features may change; we won't remove the ability to export your data.
- Emails and notifications depend on third-party services and your customers' inboxes; delivery isn't guaranteed.
10.Liability
- The service is provided as it is. As far as the law allows, we aren't liable for indirect losses, lost profits or lost business.
- Our total liability in any 12 months is limited to the amount you paid us in those 12 months (plus the S$100 under the guarantee, where it applies).
- Nothing in these terms limits liability that can't be limited by law.
[Lawyer to review limitation and indemnity wording.]
11.Businesses in the United States
Draft, to be reviewed by a US lawyer before we rely on it.
- Prices for US businesses are in US dollars: US$39 a month or US$390 a year after the trial, and US$29 a month or US$290 a year on a founding plan taken before 31 Dec 2026. Any sales tax on our subscription is added where the law requires it.
- We don't process your clients' payments. They pay you directly through your own Zelle, Venmo, Cash App, card link or check; we never hold your money and take no fee from it. Those services' own terms and fees apply.
- Sales tax on your invoices is yours to set and to file. The app calculates what you enter; it doesn't tell you what's taxable in your state.
- Retainer and deposit wording in the app is a starting point, not legal advice. Check it against your state's rules and your contracts.
- We send no text messages. The “Text” button opens your own phone's messages app with the message typed in; you choose whether to send it.
- Which law governs these terms for US businesses, and where disputes are heard, is still to be decided with a lawyer. Until then, section 12 applies.
12.Changes, law and contact
- If we change these terms in a way that matters, we'll email account holders at least 30 days before. Keeping your subscription after that means you accept them.
- These terms are governed by the laws of Singapore, and the Singapore courts have jurisdiction.
